Acceptance of the Terms of Use
Contemplation Inc., a Delaware corporation ("Company," "us," "our," or "we"), provides users with an introspective digital reflection tool through its mobile application Vespera and related website www.vesperatech.com (together, the "Platform"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Use"), govern your access to and use of any content, functionality, and services offered through the Platform.
By using the Platform, you agree to be bound by these Terms of Use and our Privacy Policy located at www.vesperatech.com/privacy. If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use the Platform.
This Platform is intended for users who are 18 years of age or older. By using the Platform, you affirm that you are of legal age to form a binding contract with the Company.
Changes to the Terms of Use
We may update these Terms of Use from time to time at our sole discretion. All changes are effective immediately upon posting. Continued use of the Platform after changes are posted constitutes acceptance of the new terms.
Platform Subscription
Access to the Platform requires a subscription. We may offer various subscription tiers and may update features or pricing. Subscriptions renew automatically unless cancelled. You authorize our payment provider to charge your selected payment method at each renewal period unless you cancel beforehand.
All subscriptions are non-refundable.
Accessing the Platform and Account Security
You may need to register and provide accurate information to use certain features of the Platform. You agree to maintain confidentiality of your login credentials and notify us of any unauthorized use. We may suspend or terminate access at our discretion.
Trademarks
All names, logos, and materials associated with Vespera are the intellectual property of the Company or its affiliates. You may not use any branding without prior written consent.
Intellectual Property
All content on the Platform, including but not limited to text, graphics, design, and functionality, is owned by the Company or its licensors and protected by intellectual property laws. You are granted a limited, revocable, non-transferable license to use the Platform for personal, non-commercial purposes.
User Content
The Platform may allow private input of self-reflection content. Vespera does not support public posting or sharing with other users. Any data you enter is stored according to your privacy settings. We are not liable for data shared outside of the Platform.
Prohibited Uses
You agree not to use the Platform:

To exploit or harm others;

To upload malicious code or interfere with the Platform’s functionality;

To reverse-engineer or attempt to access the Platform’s code or servers unlawfully.
Termination
We may terminate or restrict your access to the Platform at our discretion without notice for any violation of these Terms of Use.
Disclaimer of Warranties
The Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, error-free content, or protection from viruses. Your use is at your own risk.
Limitation of Liability
To the extent permitted by law, our total liability shall not exceed $100 or the amount paid by you to use the Platform in the past 12 months.
Indemnification
You agree to indemnify and hold harmless the Company from any claims arising out of your violation of these Terms or misuse of the Platform.
Governing Law
These Terms are governed by the laws of the State of Delaware. Legal actions shall be brought exclusively in courts located in California.
Waiver and Severability
Failure to enforce any part of these Terms does not constitute a waiver. If any provision is held invalid, the remainder remains in effect.
Entire Agreement
These Terms of Use and our Privacy Policy constitute the entire agreement between you and the Company regarding your use of the Platform.
